These Terms and Conditions ("Terms") govern your use of Ironbeard ("the Software"), developed and distributed by Ironbeard ("we," "us," or "our"). By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. Eligibility

You must be at least 18 years of age to use the Software. If you are between 13 and 17 years of age, you may only use the Software with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The Software is not intended for use by individuals under the age of 13.

2. License Grant

We grant you a limited, non-exclusive, non-transferable license to install and use the Software on one (1) computer per license. Each license is tied to a single machine. You may not share, sublicense, resell, or distribute the Software or your license to any third party.

3. Ownership

Upon purchase, you own your license to use the Software. There are no recurring subscription fees. Your license is perpetual for the version purchased. All intellectual property rights in the Software itself remain with Ironbeard.

4. Output Ownership

You retain full ownership of any content, data, or outputs generated through your use of the Software. We claim no ownership rights over your inputs, outputs, or any work product created using the Software. Note that third-party AI providers may have their own terms regarding content generated through their APIs, and you are responsible for reviewing and complying with those terms.

5. Beta Software

The Software is currently offered as a free beta. Beta versions may contain bugs, errors, or incomplete features. By using the beta, you acknowledge that the Software is in active development and may not perform as expected. When the Software transitions to a paid release, pricing is expected to be a one-time fee per license.

6. Updates and Support

If you purchase a license, your purchase is intended to include bug fixes and updates for up to one (1) year from the date of purchase, provided on a best-effort basis at our sole discretion. We make no guarantee that updates will be provided on any particular schedule, that development will continue indefinitely, or that support will be available. Updates and continued development are subject to our sole discretion.

7. Third-Party Services and API Keys

The Software allows you to connect your own API keys for third-party services, including but not limited to Anthropic and Google. By connecting these services:

  • You acknowledge that your data will be transmitted to and processed by these third-party providers according to their terms of service and privacy policies.
  • You are solely responsible for managing, securing, and paying for your own API keys and any charges incurred through third-party services.
  • We have no control over, and accept no responsibility for, how third-party services handle your data.

8. Data and Privacy

All user data, including API keys, remains stored locally on your computer. API keys are stored in your operating system's secure keyring. We do not collect, transmit, store, or have access to any of your data. We do not use telemetry or analytics of any kind. For more information, please review our Privacy Policy.

9. Sensitive Information

Important: You may choose to input personal, sensitive, or confidential information into the Software. You do so entirely at your own risk. We strongly recommend that you exercise caution when entering sensitive data and understand the implications of transmitting such data to third-party API providers.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. We make no warranties or representations regarding the Software's functionality, reliability, accuracy, security, fitness for a particular purpose, or non-infringement. The developer is not a professional software engineer and makes no claims of professional-grade development, security, or code quality. You use the Software entirely at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IRONBEARD AND ITS DEVELOPER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising from or related to your use of the Software, including but not limited to: data loss, data breaches, unauthorized access to your information, API key exposure, financial losses, or damages resulting from bugs, errors, or security vulnerabilities. This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

12. Assumption of Risk

By using the Software, you expressly acknowledge and agree that:

  • The Software is developed by an individual, not a professional engineering team.
  • The Software may contain bugs, vulnerabilities, or security flaws.
  • You are solely responsible for any data you input into the Software.
  • You are solely responsible for any consequences arising from the use of third-party API services connected through the Software.
  • You assume all risk associated with the installation and use of the Software.

13. Refund Policy

All sales are final. No refunds will be issued except where required by applicable law. We encourage you to use the free beta version to evaluate the Software before making a purchase.

14. Prohibited Uses

You agree not to:

  • Reverse engineer, decompile, or disassemble the Software.
  • Redistribute, resell, or sublicense the Software.
  • Use the Software for any unlawful purpose.
  • Attempt to circumvent any licensing restrictions.
  • Use the Software to violate or facilitate the violation of the terms of service, acceptable use policies, or usage policies of any third-party API provider connected through the Software, including but not limited to Anthropic and Google.
  • Use the Software to generate, store, or distribute content that is illegal, harmful, abusive, or that infringes on the rights of others.

15. Export Controls

The Software is subject to United States export control laws and regulations. You agree not to export, re-export, or transfer the Software, directly or indirectly, to any country, entity, or person prohibited by applicable U.S. export control laws, including but not limited to the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). By using the Software, you represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to U.S. embargo, and that you are not on any U.S. government restricted party list.

16. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Software ("Dispute") shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Horry County, South Carolina, or remotely at the election of either party. You and Ironbeard agree to waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding. The arbitrator's decision shall be final and binding and may be enforced in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm. If any part of this arbitration provision is found to be unenforceable, the remainder shall continue to apply.

17. Termination

We reserve the right to terminate or revoke your license if you violate these Terms. Upon termination, you must uninstall and destroy all copies of the Software in your possession.

18. Changes to These Terms

We may update these Terms at any time. Continued use of the Software following any changes constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to conflict of law principles.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ironbeard regarding the Software and supersede all prior agreements and understandings.
